Terms & Conditions

By signing up for a storm account you agree to the following conditions.

These Creator Terms & Conditions (“Terms”) govern participation in Storm Creator Network (“Storm,” “Storm Creator Network,” “we,” “us,” or “our”), including creation and use of a Storm account, participation in Storm creator programs, access to Storm resources, creator support, events, incentives, competitions, promotional opportunities, and other services provided by Storm.

By creating a Storm Creator Network account, electronically signing these Terms, and selecting the acknowledgment checkbox provided during registration, you confirm that you have read, understand, and voluntarily agree to be bound by these Terms.

If you do not agree to these Terms, you should not create or maintain a Storm Creator Network account.

1. CREATOR ELIGIBILITY

Participation in Storm Creator Network is subject to eligibility requirements established by Storm, TikTok, and any other applicable platform or program.

Creating an account with Storm does not automatically guarantee acceptance into Storm Creator Network, continued eligibility, access to any particular opportunity, eligibility for rewards, participation in an event, or continued affiliation with Storm.

Creators must satisfy all applicable platform requirements and must remain eligible to participate in a creator network.

Storm reserves the right to verify creator eligibility before approving an account and at any time during the creator’s affiliation with Storm.

A creator who becomes ineligible under TikTok requirements, Storm requirements, applicable law, or platform policies may have their Storm participation restricted or terminated.

2. ACCURATE REGISTRATION INFORMATION

Creators must provide truthful, complete, accurate, and current information when registering with Storm.

This may include the creator’s:

  • Full legal name;

  • TikTok username or handle;

  • Email address;

  • Telephone number;

  • Date of birth or age verification where required;

  • Account information;

  • Tax information where required;

  • Payment information where applicable; and

  • Other information reasonably necessary to verify eligibility or administer Storm programs.

Creators may not create accounts using false information, another person’s identity, another creator’s account, altered documentation, fraudulent records, or misleading information.

When legal identification is requested, information submitted to Storm must accurately correspond with the creator’s valid government-issued identification.

Creators are responsible for notifying Storm when material account information changes.

3. ONE CREATOR — ONE IDENTITY

Creators may not impersonate another individual or misrepresent the ownership of a TikTok account.

Creators may not use alternate accounts, secondary identities, another person’s information, or other methods for the purpose of circumventing TikTok eligibility requirements, Storm eligibility requirements, account restrictions, creator-network restrictions, disciplinary action, program requirements, or other applicable policies.

The existence of multiple TikTok accounts does not guarantee that each account is independently eligible for Storm participation.

Storm may review related accounts when reasonably necessary to verify eligibility or investigate suspected circumvention.

4. CREATOR ACCOUNT SECURITY

Creators are responsible for maintaining the security of their Storm account credentials.

Login credentials should not be shared with unauthorized individuals.

Creators may not:

  • Access another creator’s Storm account without authorization;

  • Attempt to obtain another person’s password;

  • Circumvent Storm account security;

  • Access restricted administrative or leadership systems without permission;

  • Manipulate Storm systems;

  • Scrape or automatically extract non-public information;

  • Attempt to interfere with Storm websites, forms, portals, databases, or systems; or

  • Use Storm systems for an unauthorized purpose.

Creators should promptly notify Storm of suspected unauthorized account access.

Storm may temporarily restrict access when reasonably necessary to protect account security, creator information, or Storm systems.

5. TIKTOK ACCOUNT OWNERSHIP

Joining Storm Creator Network does not transfer ownership of a creator’s TikTok account to Storm.

Creators remain responsible for their individual TikTok accounts, content, account security, audience, and compliance with TikTok requirements.

Except where separately authorized by the creator or permitted through applicable platform systems, Storm does not claim ownership of a creator’s TikTok account.

Storm’s ability to provide creator-network support does not give Storm control over TikTok’s independent moderation, enforcement, monetization, or account-access decisions.

6. RELATIONSHIP WITH TIKTOK

Storm Creator Network operates within an ecosystem involving TikTok and may participate in TikTok creator-network programs, initiatives, communications, events, incentives, or other opportunities.

TikTok is an independent third party.

TikTok controls its own platform, policies, Community Guidelines, LIVE rules, monetization systems, gifting functionality, eligibility requirements, algorithms, account enforcement, security procedures, product features, and creator-network requirements.

Storm cannot guarantee that TikTok will approve an account, restore an account, reverse a violation, restore monetization, return gifts or diamonds, provide access to a feature, maintain a particular program, or make any particular decision regarding a creator.

Creators are required to comply with TikTok’s then-current rules and policies in addition to these Terms.

7. ACTIVE CREATOR REQUIREMENTS

Storm Creator Network is an active creator network.

Unless Storm communicates a different requirement for a particular creator, program, or period, active Storm creators are expected to complete a minimum of:

8 qualifying LIVE days per calendar month; and
20 cumulative LIVE hours per calendar month.

A qualifying LIVE day requires a minimum of 60 consecutive minutes of LIVE activity.

Multiple shorter LIVE sessions may contribute toward cumulative LIVE hours but do not necessarily satisfy the consecutive-minute requirement for a qualifying LIVE day.

Storm may use TikTok records, internal records, platform reporting, dashboards, or other reasonably reliable information to determine creator activity.

Creators are responsible for monitoring their own activity and ensuring that minimum requirements are completed.

Storm is not responsible for a creator failing to satisfy activity requirements because the creator misunderstood, forgot, or failed to monitor their activity.

8. CHANGES TO ACTIVITY REQUIREMENTS

TikTok programs and creator-network requirements may change.

Storm may reasonably modify creator activity standards, qualification requirements, or related creator expectations when necessary because of TikTok requirements, network performance requirements, program changes, or legitimate business needs.

Material changes will be communicated through a reasonable Storm communication channel and will generally apply prospectively.

Program-specific requirements may differ from Storm’s general creator minimums.

9. NEW CREATOR REQUIREMENTS

Storm may establish additional activity or onboarding requirements for newly accepted creators.

New creators may be required to begin LIVE activity within a specified period after joining Storm in order to maintain eligibility.

Failure to begin participating within the required onboarding period may result in removal or loss of creator-network eligibility where permitted by applicable platform rules.

Any applicable onboarding requirement will be communicated to the creator.

10. CREATOR CONDUCT

Storm creators are expected to conduct themselves professionally and in a manner consistent with Storm standards and applicable platform policies.

Prohibited conduct includes, but is not limited to:

  • Fraud;

  • Scams;

  • Intentional deception;

  • Harassment;

  • Threats;

  • Targeted bullying;

  • Discrimination prohibited by applicable law;

  • Impersonation;

  • Falsification of records;

  • Manipulation of program results;

  • Artificial engagement;

  • Manipulation of gifting activity;

  • Fraudulent transactions;

  • Misrepresentation of another creator;

  • Unauthorized access to accounts;

  • Deliberate circumvention of TikTok or Storm rules;

  • Knowingly submitting false appeals or evidence;

  • Misuse of Storm resources;

  • Conduct intended to damage another Storm creator;

  • Conduct that materially jeopardizes Storm’s relationship with TikTok or another business partner; or

  • Other serious misconduct inconsistent with participation in Storm Creator Network.

Storm may investigate suspected misconduct and take reasonable action based on available information.

11. TIKTOK COMMUNITY AND LIVE POLICIES

Creators are responsible for understanding and following TikTok’s current Community Guidelines, LIVE rules, monetization policies, gifting policies, event rules, and other applicable platform requirements.

A creator’s participation in Storm does not excuse or override TikTok requirements.

Storm may provide creators with education, reminders, training, guidance, or compliance information; however, creators remain responsible for their individual conduct.

Where Storm provides specific instructions for an official Storm event, campaign, battle, competition, LIVE activity, or platform initiative, creators are expected to follow those instructions unless they conflict with applicable law or controlling TikTok requirements.

12. VIOLATIONS, RESTRICTIONS, AND APPEALS

Creators are responsible for reviewing violations, warnings, restrictions, suspensions, or other enforcement notices issued to their TikTok accounts.

Storm may provide assistance with certain appeal processes where available, but Storm does not guarantee that an appeal will be approved.

Creators must provide truthful information when requesting Storm assistance with an appeal.

Submitting altered screenshots, fabricated evidence, false explanations, or materially misleading information may result in Storm refusing further appeal assistance and may constitute grounds for disciplinary action.

13. CREATOR NETWORK ELIGIBILITY AND OTHER AGENCIES

Creators are responsible for truthfully disclosing existing creator-network or agency affiliations when requested.

Creators may not knowingly misrepresent their current or previous creator-network status for the purpose of joining Storm.

Where TikTok policies restrict simultaneous creator-network participation, creators must comply with those restrictions.

Storm does not encourage creators to violate agreements with another organization or to circumvent TikTok creator-network eligibility requirements.

14. ANTI-POACHING AND RECRUITING CONDUCT

Storm does not permit improper poaching of creators from another creator network or agency.

Creators participating in referral, ambassador, recruiting, or similar Storm programs must follow Storm recruiting policies.

A Storm creator may not knowingly encourage another creator to violate an existing creator-network agreement, misrepresent another network, or provide false information about eligibility in order to recruit that creator into Storm.

Where a prospective creator indicates that they are already affiliated with another creator network or agency, the creator should refer the matter to Storm for eligibility review rather than attempting to induce the creator to leave their existing organization.

15. CREATOR ASSIGNMENTS AND SUPPORT

Storm may assign creators to managers, teams, support personnel, programs, or internal groups for operational purposes.

A creator does not acquire a contractual right to remain permanently assigned to any particular manager or team.

Storm may reassign creators when reasonably necessary for:

  • Creator support;

  • Staffing changes;

  • Manager performance;

  • Manager availability;

  • Organizational restructuring;

  • Compliance concerns;

  • Creator requests;

  • Operational efficiency; or

  • Other legitimate business reasons.

A manager leaving Storm does not automatically transfer creators assigned to that manager out of Storm.

16. NO GUARANTEE OF RESULTS

Storm does not guarantee creator earnings, diamonds, gifts, rankings, followers, viewers, subscribers, engagement, sponsorships, brand deals, event invitations, account growth, discoverability, or other results.

Creator performance depends on numerous factors, many of which are outside Storm’s control.

These may include:

  • Creator consistency, Content, LIVE performance, Audience engagement, Platform algorithms; Viewer behavior, Gifting behavior, Market conditions, TikTok policies, Platform availability, Creator effort, and Other factors.

Past results achieved by Storm or other creators do not guarantee similar results for any individual creator.

17. CREATOR EARNINGS

Creators remain responsible for understanding how TikTok calculates and distributes creator earnings, diamonds, gifts, rewards, or other platform compensation.

Storm does not guarantee the amount or timing of compensation paid independently through TikTok.

Storm may provide separate incentives, prizes, rewards, promotional gifts, or bonuses under specific Storm programs.

Those Storm incentives are governed by the applicable program requirements.

18. STORM REWARDS AND INCENTIVES

Storm may offer discretionary creator rewards, incentives, prizes, promotional gifts, contests, experiences, or other opportunities based on creator performance or program participation.

Eligibility may depend on requirements including, without limitation:

Creator activity; LIVE days; LIVE hours; Diamonds;  Program participation;  Active Storm status; Compliance with Storm policies; Compliance with TikTok policies; Event participation; Campaign performance; or Other criteria communicated for the applicable program.

Creators must satisfy all stated requirements to qualify.

Storm may verify eligibility before providing a reward.

Fraudulent, manipulated, invalid, reversed, or otherwise ineligible activity may be excluded.

Unless specifically stated otherwise, discretionary Storm rewards are non-transferable and have no guaranteed cash value.

19. LEAVING STORM

Creators may request to leave Storm subject to applicable TikTok procedures, platform restrictions, and Storm administrative processes.

Leaving Storm may affect eligibility for discretionary Storm rewards, future incentives, events, campaigns, creator opportunities, or other benefits that require active Storm membership at the time of distribution or participation.

Nothing in these Terms permits Storm to withhold compensation that applicable law requires to be paid.

Creators are responsible for understanding any TikTok restrictions that may apply after leaving a creator network.

Storm does not guarantee that a creator who leaves will be eligible to join another creator network or later return to Storm.

20. EVENTS AND CREATOR EXPERIENCES

Storm may host, sponsor, facilitate, or provide access to creator dinners, meetups, battles, tournaments, elimination series, trainings, conferences, TikTok HQ experiences, studio sessions, trips, promotional events, and other creator opportunities.

Unless Storm expressly states otherwise, registration for an event does not guarantee admission.

Attendance may be subject to:

  • Active Storm creator status;

  • Activity minimums;

  • Program qualification;

  • Official guest-list placement;

  • Capacity;

  • Identification requirements;

  • Venue security;

  • TikTok requirements;

  • Age or eligibility requirements where applicable;

  • Timely registration; and

  • Event-specific rules.

Storm may verify eligibility before allowing participation.

21. LIMITED-CAPACITY EVENTS AND NO-SHOWS

Storm creator events and opportunities may have limited capacity.

Creators should register only when they reasonably intend to attend.

Unless Storm provides a different cancellation requirement for a particular event, a creator who can no longer attend a registered event is expected to provide Storm with at least 24 hours’ advance notice.

A creator who registers for a limited-capacity event and fails to attend without providing appropriate notice may lose eligibility for future Storm Creator Network events, creator experiences, limited-capacity opportunities, or priority invitations.

Repeated late cancellations or no-shows may result in temporary or permanent restriction from future event registration.

Storm may consider genuine emergencies or extraordinary circumstances in its discretion.

22. EVENT SECURITY AND IDENTIFICATION

Some events, including events held at TikTok offices or other secure facilities, may require advance registration, identification, security screening, QR codes, guest credentials, or other forms of verification.

Creators are responsible for submitting accurate information.

Where required, registration information must match the creator’s valid government-issued photo identification.

Storm cannot override security requirements imposed by TikTok, a venue, property management, security personnel, government authorities, or another third party.

Failure to satisfy required security or identification procedures may result in denied entry.

23. EVENT AND TRAVEL EXPENSES

Unless Storm expressly states in writing that a specific expense is included, creators are responsible for their own expenses associated with participation in Storm events and opportunities.

These expenses may include:

  • Airfare;

  • Hotel accommodations;

  • Ground transportation;

  • Parking;

  • Baggage fees;

  • Meals;

  • Travel documents;

  • Insurance;

  • Personal expenses; and

  • Other travel-related costs.

Winning or earning access to an event does not automatically mean that transportation, hotel accommodations, or other expenses are included.

Specific promotion or contest rules will control when Storm expressly provides travel or accommodations as part of a prize.

24. EVENT CHANGES AND CANCELLATIONS

Event schedules, dates, locations, participants, venues, programming, capacity, and access requirements may change.

Changes may result from TikTok requirements, venue availability, security concerns, weather, transportation disruptions, platform decisions, emergencies, operational issues, or circumstances outside Storm’s control.

Storm will make reasonable efforts to communicate material event changes to affected creators.

Unless otherwise required by law or expressly agreed in writing, Storm is not responsible for a creator’s independently incurred travel or personal expenses resulting from an event change or cancellation outside Storm’s reasonable control.

25. CONTESTS, BATTLES, AND PROMOTIONS

Storm may operate contests, battles, tournaments, elimination series, rankings, campaigns, incentive programs, and promotional opportunities.

Specific programs may include additional official rules.

Creators participating in these programs must comply with those rules.

Attempting to manipulate competition results, fabricate activity, coordinate fraudulent gifting, use unauthorized accounts, exploit technical errors, or otherwise circumvent program rules may result in disqualification.

Storm may verify results before providing a prize or benefit.

If program-specific rules conflict with these general Terms regarding that particular program, the specific program rules will control for that program.

26. COMMUNICATIONS

Creators agree that Storm may use the contact information provided during registration to communicate regarding the creator’s Storm relationship.

Communications may include:

  • Account information;

  • Creator updates;

  • Policy notices;

  • Compliance notices;

  • Event information;

  • Program opportunities;

  • Training information;

  • Reward information;

  • Eligibility notices;

  • Manager communications;

  • Platform updates;

  • Operational announcements; and

  • Other communications reasonably related to Storm participation.

Creators are responsible for maintaining a functioning email address and reviewing important Storm communications.

27. CONFIDENTIAL OR NON-PUBLIC INFORMATION

Creators may occasionally receive information from Storm that is not intended for public distribution.

This may include unreleased event details, private links, passwords, internal communications, platform communications, creator opportunities, training resources, business-partner information, or other information identified as confidential or reasonably understood to be non-public.

Creators may not publicly distribute confidential Storm information without authorization.

This provision does not prohibit creators from discussing their own experiences, reporting unlawful activity, communicating with government agencies, seeking legal advice, or exercising other rights protected by law.

28. STORM INTELLECTUAL PROPERTY

Storm retains its rights in its original branding, graphics, logos, training materials, written content, videos, forms, systems, event materials, website content, documents, templates, and other proprietary materials.

Creating a Storm account does not transfer ownership of Storm intellectual property to the creator.

Creators may not sell, commercially exploit, falsely claim ownership of, or reproduce Storm proprietary materials for an unauthorized commercial purpose.

Storm may permit creators to use certain approved logos, graphics, flyers, or promotional materials while affiliated with Storm.

Such permission may be revoked.

29. CREATOR CONTENT AND OWNERSHIP

Storm does not claim ownership of a creator’s independently created TikTok content solely because the creator joins Storm Creator Network.

Creators retain whatever ownership rights they otherwise possess in their original content.

When a creator voluntarily submits photographs, videos, testimonials, screenshots, creator handles, or other materials directly to Storm for promotional, event, recognition, marketing, or network purposes, the creator represents that they have authority to provide those materials.

The creator grants Storm a non-exclusive, royalty-free license to use materials specifically submitted to Storm for reasonable Storm promotional, creator-recognition, event, training, and network-related purposes, unless otherwise agreed in writing.

30. PHOTOGRAPHY AND EVENT MEDIA

Storm events may be photographed, livestreamed, recorded, or filmed.

By voluntarily attending an event where photography or recording has been clearly disclosed or would reasonably be expected, creators acknowledge that they may appear incidentally in event photography or video.

Where Storm intends to feature a creator individually in advertising, testimonials, endorsements, or other uses requiring additional consent under applicable law, Storm may obtain separate authorization when required.

31. CREATOR REPRESENTATIONS

Creators may truthfully identify themselves as Storm Creator Network creators while actively affiliated with Storm.

Creators may not falsely represent themselves as:

  • An owner of Storm;

  • An officer of Storm;

  • An employee of Storm solely because they are a creator;

  • An attorney for Storm;

  • A TikTok employee;

  • An authorized TikTok spokesperson; or

  • A person authorized to enter contracts on Storm’s behalf.

Creators may not make unauthorized guarantees regarding Storm acceptance, TikTok acceptance, creator earnings, rewards, or opportunities.

32. NO EMPLOYMENT RELATIONSHIP CREATED BY CREATOR STATUS

Participation as a Storm creator does not, by itself, create an employer-employee relationship, partnership, joint venture, franchise, ownership interest, fiduciary relationship, or authority to legally bind Storm.

Creators independently control their own content and LIVE activity, subject to applicable TikTok and Storm participation requirements.

A creator who separately accepts employment, contractor work, management responsibilities, or another role with Storm may be subject to a separate written agreement governing that relationship.

33. LEADERSHIP IS SEPARATE

These Creator Terms do not grant management or leadership status.

Creators who later become managers, managers-in-training, ambassadors with elevated access, employees, contractors, or other Storm leadership personnel may be required to execute a separate Leadership & Manager Agreement.

That separate agreement may contain additional obligations involving confidential information, recruiting, compensation, proprietary training, conflicts of interest, non-solicitation, competing businesses, and other leadership responsibilities.

Acceptance of these Creator Terms alone does not constitute acceptance of a future Leadership & Manager Agreement.

34. PRIVACY

Storm may collect information reasonably necessary to:

  • Establish and administer creator accounts; Verify creator identity or eligibility;  Provide creator support;  Assign managers;  Operate programs;  Verify activity;  Administer rewards; Manage events; Maintain security;  Communicate with creators;  Meet legal obligations; and Conduct legitimate Storm business operations.

Storm’s handling of personal information should also be governed by its applicable Privacy Policy.

Creators may not misuse access to personal information belonging to another creator.

35. TAXES

Creators are responsible for understanding and satisfying their own tax obligations relating to their creator income, gifts, payments, prizes, or other taxable benefits except where applicable law places a reporting, withholding, or payment obligation on Storm or another party.

Storm may require tax documentation before issuing certain payments or rewards.

Storm does not provide individualized tax, accounting, or legal advice through ordinary creator support.

36. CREATOR SUPPORT

Storm may provide training, education, account support, LIVE strategy, troubleshooting assistance, platform information, event opportunities, creator development, or other resources.

Creator support is intended as guidance and does not constitute a guarantee of success.

Storm may determine how support resources are allocated based on creator needs, program availability, staffing, eligibility, performance, or other legitimate operational considerations.

37. INVESTIGATIONS

Storm may investigate suspected violations of these Terms, Storm policies, eligibility requirements, event rules, or program requirements.

Storm may review reasonably available information including:

Platform records; Internal records; Screenshots; Communications; Account information; Creator reports; Program data; Witness statements; and Other relevant information.

Creators are expected to cooperate reasonably with legitimate compliance or eligibility reviews.

38. ACCOUNT RESTRICTION, SUSPENSION, OR REMOVAL

Storm may restrict, suspend, or terminate creator participation when Storm reasonably determines that a creator:

No longer satisfies eligibility requirements; Repeatedly fails to satisfy required activity standards;  Violates TikTok policies; Violates these Terms; Commits fraud;  Falsifies information;  Manipulates program activity;  Misuses Storm systems;  Engages in serious harassment or misconduct; Improperly accesses confidential information; Creates substantial security or compliance risk; Jeopardizes Storm’s relationship with TikTok or another business partner; Attempts to circumvent creator-network requirements; or Otherwise materially breaches applicable Storm policies.

Where practical and appropriate, Storm may provide notice of the reason for an account action.

Nothing requires Storm to maintain a creator relationship where continuing the relationship would violate TikTok requirements or applicable law.

39. EFFECT OF TERMINATION

When a creator’s Storm affiliation ends, access to creator-only Storm systems, programs, private resources, event opportunities, and other membership benefits may end.

Termination does not eliminate obligations that arose before termination.

Sections relating to intellectual property, confidential information, responsibility for misconduct, and other provisions that by their nature should survive termination will continue to apply to the extent permitted by law.

40. CHANGES TO STORM PROGRAMS

Storm may create, modify, rename, restructure, suspend, or discontinue creator programs, rewards, events, portals, training opportunities, campaigns, incentive structures, or other discretionary benefits.

Storm will honor obligations that have already become legally due and cannot lawfully be modified.

Otherwise, participation in a particular Storm program does not create a permanent entitlement to that program continuing indefinitely.

41. DISCLAIMER OF WARRANTIES

To the fullest extent permitted by applicable law, Storm creator resources, portals, programs, and services are provided on an “as available” basis.

Storm does not guarantee:

  • Continuous website availability;

  • Continuous TikTok availability;

  • Error-free systems;

  • Specific creator results;

  • Account growth;

  • Earnings;

  • TikTok feature availability;

  • Event availability;

  • Acceptance into a program; or

  • Successful resolution of platform issues.

Nothing in these Terms excludes rights or warranties that applicable law does not permit Storm to exclude.

42. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, Storm will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising solely from circumstances including third-party platform interruptions, discretionary program changes, independently arranged travel, canceled third-party events, loss of TikTok features, or circumstances outside Storm’s reasonable control.

Nothing in these Terms limits liability where limitation is prohibited by applicable law.

43. RESPONSIBILITY FOR CREATOR CONDUCT

Creators are responsible for their own unlawful conduct, fraudulent conduct, intentional misconduct, unauthorized promises, infringement of third-party rights, misuse of another person’s information, or material violations of these Terms.

To the fullest extent permitted by law, a creator agrees to be responsible for losses or claims caused by the creator’s own unlawful or intentionally wrongful conduct.

Nothing in this provision requires a creator to assume responsibility for Storm’s own unlawful conduct.

44. REPORTING CONCERNS

Creators are encouraged to report serious concerns involving fraud, harassment, creator safety, unauthorized account access, poaching, misconduct, misuse of confidential information, or other significant policy violations.

Creators must not knowingly submit fabricated evidence, intentionally false accusations, or materially misleading reports.

Good-faith reporting of legitimate concerns will not itself constitute a violation of these Terms.

45. GOVERNING LAW

Except where another jurisdiction’s law is required to apply, these Terms will be governed by and interpreted according to the laws of the State of Louisiana.

Nothing in these Terms eliminates rights that applicable law prohibits the parties from waiving.

46. DISPUTE RESOLUTION

Creators are encouraged to contact Storm first regarding account, eligibility, program, reward, event, or other disputes so that Storm has a reasonable opportunity to review and attempt to resolve the issue.

Nothing in this section prevents a creator from exercising rights available under applicable law.

Any separate arbitration agreement or additional dispute-resolution agreement will apply only if separately and validly agreed to by the parties.

47. SEVERABILITY

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, that provision will be ineffective only to the extent required by law.

The remaining provisions will continue in effect to the fullest extent legally permitted.

48. NO WAIVER

Storm’s decision not to enforce a provision on one occasion does not permanently waive Storm’s right to enforce that provision in the future.

Any express waiver must be authorized by Storm.

49. ENTIRE CREATOR AGREEMENT

These Terms, Storm’s Privacy Policy, applicable program-specific rules, and any additional terms expressly accepted by the creator constitute the terms governing the creator’s Storm account and general creator participation.

If a creator later enters a separate written agreement with Storm for employment, management, leadership, independent contractor services, or another role, that agreement will govern the subjects specifically addressed in that agreement.

50. UPDATES TO THESE TERMS

Storm may update these Terms to reflect changes in law, TikTok requirements, Storm programs, technology, safety practices, or business operations.

The effective date of the Terms will be updated when revisions are made.

Where appropriate, Storm may require creators to review and affirmatively accept materially revised Terms before continuing to use certain Storm services.

51. ELECTRONIC RECORDS AND SIGNATURE

The creator agrees to conduct the registration process electronically.

By entering an electronic signature, selecting the agreement checkbox, and submitting the Storm registration, the creator intends those electronic actions to constitute acceptance of these Terms.

The creator acknowledges that electronic records relating to acceptance of these Terms may be retained by Storm as evidence of the agreement.

52. CREATOR ACKNOWLEDGMENT

By signing below and selecting the acknowledgment checkbox, I acknowledge and agree that:

I have read and understand these Terms.

The information I have provided to Storm is truthful and accurate to the best of my knowledge.

I understand that joining Storm Creator Network does not guarantee earnings, TikTok account performance, rewards, events, or other results.

I understand that I am responsible for complying with TikTok policies and applicable Storm Creator Network policies.

I understand that maintaining active Storm Creator Network status may require me to satisfy Storm’s creator activity requirements.

I understand that certain Storm programs, rewards, promotions, and events may have additional eligibility requirements.

I understand that registration for an event or opportunity does not necessarily guarantee admission or participation.

I understand that these Creator Terms apply to my relationship as a Storm creator and that accepting a future management or leadership position may require a separate agreement containing additional terms and obligations.

I voluntarily agree to be bound by these Creator Terms & Conditions.

LEADERSHIP AND MANAGEMENT TERMS AND CONDITIONS

By signing up for a Storm Account, if now or in the future your become part of the leadership team, you agree to the following Leadership & Manager Terms & Conditions.

These Leadership & Manager Terms and Conditions (“Manager Terms”) govern participation in the management and leadership programs of Storm Creator Network (“Storm,” “Storm Creator Network,” “we,” “us,” or “our”).

These Manager Terms are separate from, and in addition to, the Storm Creator Network Creator Terms & Conditions. Any individual who maintains a Storm creator account remains subject to the Creator Terms in addition to these Manager Terms.

By accepting or continuing in a Storm management, leadership, manager-in-training, team leader, or substantially similar position (“Manager”), the Manager acknowledges that management with Storm involves access to specialized training, confidential information, creator relationships, recruiting resources, internal systems, business strategies, platform knowledge, operational processes, and other proprietary resources not generally provided to ordinary creators.

1. MANAGEMENT RELATIONSHIP

Storm may appoint qualified individuals to management and leadership positions based on business needs, performance, experience, conduct, recruiting ability, creator support, training completion, compliance, and other legitimate factors.

Management status is a position of responsibility and trust. Appointment to management does not create ownership rights in Storm Creator Network, any Storm team, creator relationship, recruiting lead, internal system, intellectual property, or other Storm asset.

Managers may be responsible for recruiting creators, onboarding creators, supporting creator development, communicating Storm policies, assisting with creator questions, monitoring creator participation, supporting Storm events and programs, completing leadership training, participating in leadership communications, and otherwise assisting with the operation and growth of Storm Creator Network.

Managers may identify themselves as Storm Managers only while actively authorized to serve in that role. Management status does not authorize a Manager to enter into contracts on behalf of Storm, incur debt or expenses in Storm’s name, guarantee compensation, guarantee acceptance into Storm, promise rewards that have not been approved, represent themselves as an owner or corporate officer of Storm, or represent themselves as an employee or authorized corporate representative of TikTok.

Only individuals expressly authorized by Storm may legally bind Storm Creator Network.

Management status alone does not determine whether an individual is legally classified as an employee, independent contractor, or another type of service provider. Any legal classification will be determined by the actual relationship, applicable law, and any additional written agreement between Storm and the Manager.

2. MANAGEMENT EXPECTATIONS AND PERFORMANCE

Storm management is performance-based. Managers are expected to actively recruit, support assigned creators, maintain appropriate communication, participate in required training, comply with Storm and TikTok policies, and contribute to the continued growth and development of their team.

Storm may establish minimum recruiting, creator-development, team-performance, growth, retention, compliance, communication, and leadership standards.

Unless Storm communicates otherwise, Managers are expected to achieve a minimum of five valid creator recruits per calendar month. A recruit is considered valid only after satisfying Storm’s then-current valid-creator requirements.

Storm may also maintain team-performance requirements based on management tenure, qualifying diamonds, creator activity, growth, recruiting performance, retention, or other legitimate business metrics.

Failure to consistently satisfy management expectations may result in coaching, performance review, restricted recruiting privileges, removal of creator assignments, reassignment, reduction in leadership status, suspension, or removal from management.

Because TikTok programs, creator-network requirements, compensation structures, invitation limits, and Storm operations may change, Storm may reasonably modify future operational standards and management requirements. Material contractual obligations involving post-departure financial obligations or restrictive covenants will not be materially expanded solely through ordinary policy updates where applicable law requires additional consent.

3. RECRUITING AND ANTI-POACHING

Managers must recruit honestly, professionally, and in accordance with Storm and TikTok requirements.

Managers may not guarantee creator earnings, diamonds, followers, views, gifts, sponsorships, event invitations, TikTok account restoration, creator-network acceptance, platform benefits, or any other result that has not been expressly guaranteed by Storm or TikTok.

Managers may not knowingly provide false, misleading, deceptive, or materially incomplete information for the purpose of recruiting a creator.

Storm maintains a strict anti-poaching policy. Managers must not knowingly pressure, encourage, instruct, or induce a creator who is currently affiliated with another creator network or agency to leave that organization for the purpose of joining Storm.

If a prospective creator states that they are currently affiliated with another creator network or agency, the Manager must not instruct that creator to quit, terminate, or otherwise leave the existing organization in order to join Storm. Questions concerning creator eligibility should be referred to Storm for review.

Managers may not knowingly attempt to circumvent creator-network restrictions, existing agency affiliations, account restrictions, TikTok eligibility requirements, Storm invitation limitations, bans, account-status limitations, or other applicable program requirements.

Improper poaching, falsification of creator eligibility, intentional circumvention, or materially deceptive recruiting may result in suspension of recruiting privileges, disciplinary action, or removal from management.

4. CREATOR RELATIONSHIPS AND MANAGEMENT RESPONSIBILITIES

Creators recruited, onboarded, supported, or assigned through Storm remain Storm Creator Network creators.

A Manager does not acquire ownership of a creator because the Manager recruited, referred, onboarded, trained, supported, or managed that creator.

Storm retains the right to assign or reassign creators based on business needs, creator requests, management performance, availability, restructuring, compliance concerns, creator support requirements, or other legitimate operational reasons.

A Manager leaving Storm does not result in the automatic transfer of assigned or recruited creators to the departing Manager.

Managers are expected to treat creators professionally and respectfully. Managers may not exploit, intimidate, threaten, harass, retaliate against, financially manipulate, or otherwise improperly use their position over a creator.

Managers may not demand gifts, access creator funds, access creator accounts without authorization, alter creator account information, create unauthorized financial arrangements, or use private creator information for personal purposes unrelated to Storm.

5. MANAGEMENT COMPENSATION

Managers may be eligible for compensation under Storm’s then-current management compensation program.

Compensation may be based on valid recruits, team performance, qualifying diamonds, growth, retention, leadership tier, management status, compliance, or other announced criteria.

Management title alone does not guarantee compensation.

Storm may verify qualifying activity before issuing compensation. Fraudulent, manipulated, invalid, reversed, improperly attributed, falsified, or otherwise ineligible activity may be excluded from compensation calculations.

Managers may not manipulate recruit counts, creator activity, team assignments, diamond attribution, creator start dates, growth calculations, performance records, or other information used to determine compensation.

Unless otherwise required by law or specifically provided in a written compensation agreement, a former Manager is not entitled to ongoing future management compensation merely because creators previously recruited or managed by that individual remain with Storm.

Any compensation that became legally earned before termination will be handled in accordance with the applicable compensation terms and applicable law.

6. STORM TRAINING, SYSTEMS, AND INTELLECTUAL PROPERTY

Storm invests substantial time, personnel, knowledge, experience, financial resources, operational support, and business infrastructure into developing its Managers.

Management training may include creator-network operations, creator recruitment, creator qualification, onboarding systems, retention strategies, LIVE development, creator support, team growth, manager systems, internal operations, compensation structures, performance analysis, leadership development, platform education, business development, organizational processes, event operations, expansion strategy, internal procedures, and other specialized management and business knowledge.

The Manager acknowledges that access to this training and infrastructure may provide substantial commercial value and may significantly reduce the time, expense, and learning curve otherwise required to build or operate a creator-management business.

Storm retains ownership of its proprietary training materials, leadership videos, documents, forms, templates, presentations, graphics, databases, dashboards, internal procedures, operating systems, original content, business processes, and other intellectual property.

Receiving access to these materials does not transfer ownership to the Manager.

A Manager may not copy, reproduce, sell, license, publish, distribute, rebrand, repackage, commercially exploit, or provide Storm’s proprietary materials to another creator network, agency, management company, competing business, or third party without authorization.

A Manager may not use Storm’s actual training materials, internal documents, proprietary processes, or leadership resources to create or train another agency’s management team.

Nothing in these Manager Terms prevents a former Manager from using general knowledge, experience, or skills that applicable law permits that individual to retain.

7. CONFIDENTIAL INFORMATION

Managers may receive substantial non-public, confidential, proprietary, commercially sensitive, or otherwise restricted information through their Storm position.

Confidential Information may include creator rosters, creator contact information, recruiting prospects, recruiting leads, prospective creator information, creator performance information, recruiting results, retention data, invitation allocations, internal communications, TikTok communications, platform communications, business strategies, growth strategies, expansion plans, international development information, non-public compensation information, financial information, operational procedures, management systems, training programs, databases, dashboards, reports, forms, templates, passwords, private links, business-development information, partnership information, event plans, internal policies, marketing strategies, and other information Storm reasonably maintains as confidential or proprietary.

Managers may use Confidential Information only for legitimate Storm business and only to the extent reasonably necessary to perform authorized management responsibilities.

Managers may not publish, sell, distribute, copy, export, download for unauthorized purposes, screen-record, photograph for unauthorized distribution, disclose, transfer, retain for competitive use, or commercially exploit Confidential Information without authorization.

A Manager may not create a personal recruiting database from Storm information or retain Storm data for the purpose of later operating, supporting, or benefiting another agency or competing business.

The duty to protect Storm Confidential Information continues after the Manager’s relationship with Storm ends to the extent permitted by applicable law.

Nothing in these Manager Terms prohibits legally protected whistleblowing, communications with government agencies, participation in government investigations, obtaining legal advice, or other conduct protected by law.

8. CREATOR DATA AND BUSINESS INFORMATION

Access to Storm creators, prospective creators, recruiting information, creator contact information, or internal business records does not give a Manager ownership of that information.

Managers may not export, copy, harvest, scrape, duplicate, retain, photograph, screen-record, download, forward, or otherwise reproduce Storm creator data, prospect information, recruiting records, internal reports, contact information, or proprietary business records for use outside authorized Storm activities.

Storm’s creator information, recruiting data, internal databases, and proprietary business records remain Storm property even when the Manager originally recruited or interacted with the creator involved.

A former Manager may not use Storm’s non-public creator data, recruiting information, internal business records, or other Confidential Information to establish, populate, operate, or benefit a competing creator network or agency.

9. CONFLICTS OF INTEREST AND COMPETING ACTIVITY WHILE WITH STORM

Managers must disclose material business interests or relationships that reasonably create a conflict with their Storm responsibilities.

Without Storm’s prior written authorization, an active Storm Manager may not directly or indirectly establish, own, co-own, operate, control, manage, substantially develop, or materially participate in another creator network, TikTok LIVE agency, creator-management agency, talent-management organization, or substantially similar business that materially competes with Storm.

Managers may not use Storm’s training, systems, creator relationships, prospects, business information, recruiting infrastructure, confidential data, or internal resources to secretly build or prepare another competing agency while continuing to receive Storm management access.

Operating or materially developing a concealed competing creator agency while actively serving as a Storm Manager constitutes a material breach of these Manager Terms.

10. DEPARTURE FROM STORM

A Manager wishing to resign from management should provide Storm with reasonable written notice through an approved communication channel.

Resigning from management does not automatically terminate the individual’s separate Storm creator relationship unless the individual separately requests to leave as a creator.

Upon resignation, suspension, or termination, Storm may immediately reassign creators, recruiting leads, pending matters, team responsibilities, or other operational duties.

A departing Manager must reasonably cooperate with the orderly transition of Storm business and creator support.

Upon departure, suspension, or termination, the Manager must discontinue unauthorized access to Storm management systems and, upon request, return or permanently delete Storm Confidential Information and proprietary materials in the Manager’s possession, including internal documents, creator information, recruiting records, training materials, downloaded reports, databases, private links, internal communications, passwords, and access credentials.

A departing Manager may not retain copies of Storm information for future competitive use.

11. POST-DEPARTURE COMPETING AGENCY AND REVENUE PARTICIPATION

Storm provides Managers with specialized training, business-development resources, creator-network education, operational experience, leadership development, systems access, industry knowledge, confidential business information, and exposure to creator and business relationships that may substantially accelerate the Manager’s ability to establish or operate an independent competing creator agency.

Accordingly, the following provisions apply if a former Manager chooses to establish, own, control, or operate a Competing Agency after leaving Storm.

For purposes of these Manager Terms, a “Competing Agency” means a creator network, TikTok LIVE agency, creator-management agency, talent-management organization, digital creator agency, or substantially similar business that recruits, develops, supports, manages, represents, or receives agency compensation attributable to creators on TikTok or another substantially similar livestreaming or creator platform.

The post-departure revenue participation provisions apply where the former Manager establishes a Competing Agency, owns or co-owns a Competing Agency, exercises substantial operational control over a Competing Agency, or possesses a material beneficial ownership or profit interest in a Competing Agency that the former Manager substantially operates or controls.

Merely accepting ordinary employment with another company, without ownership, operational control, or a material beneficial interest, does not by itself trigger the revenue participation provisions contained in this section.

To the fullest extent permitted by applicable law, if a former Manager establishes, owns, controls, or operates a Competing Agency during the twenty-four months following the Manager’s final date of management service with Storm, Storm shall be entitled to contractual revenue participation equal to ten percent of applicable Gross Competitive Agency Revenue during Months 1 through 18 and six percent of applicable Gross Competitive Agency Revenue during Months 19 through 24.

No revenue participation obligation under these Manager Terms extends beyond twenty-four months following the Manager’s final date of management service with Storm.

“Gross Competitive Agency Revenue” means gross revenue actually received and retained by the Competing Agency from creator-network or creator-management operations, including platform agency payments, agency commissions, management fees, creator-network compensation, recruiting revenue, referral revenue, platform bonuses, agency incentives, overrides, creator-development fees, and substantially similar agency revenue.

Gross Competitive Agency Revenue does not include creator funds that merely pass through the business and are not retained by the Competing Agency, taxes collected solely for remittance to a governmental authority, or revenue generated from a genuinely unrelated business activity that does not materially compete with Storm.

The revenue participation obligation begins only after the Manager’s Storm management relationship has ended and the former Manager begins operating or receiving applicable competitive agency revenue from the Competing Agency. Under no circumstances will the obligation continue beyond twenty-four months following the Manager’s final date of management service with Storm.

A former Manager subject to the revenue participation requirement must provide Storm with a monthly statement showing applicable Gross Competitive Agency Revenue and remit any amount contractually due within fifteen days following the end of the applicable calendar month.

Storm may request reasonable documentation directly related to verification of Gross Competitive Agency Revenue, including relevant platform statements, agency payment reports, commission reports, financial statements, or substantially similar documentation.

Storm will treat non-public financial information obtained solely for verification purposes as confidential except where disclosure is reasonably necessary for accounting, legal, tax, regulatory, or enforcement purposes.

A former Manager may not intentionally evade the revenue participation obligation by conducting a Competing Agency through another individual, corporation, limited liability company, partnership, spouse, relative, business partner, nominee, affiliated company, or other arrangement while maintaining actual ownership, operational control, material participation, beneficial ownership, or a right to receive profits.

The substance of the arrangement will control rather than merely the name of the business, legal entity, or title assigned to the former Manager.

12. POST-DEPARTURE PROTECTION OF STORM RELATIONSHIPS

A former Manager may not use Storm Confidential Information, internal creator data, non-public contact information, recruiting records, prospect information, management information, or proprietary Storm resources for the purpose of diverting Storm creators, prospects, managers, leadership personnel, business relationships, or opportunities to a Competing Agency.

A former Manager may not use confidential Storm management information or internal leadership information to intentionally build the staffing or management structure of a competing agency from Storm’s internal leadership team.

The fact that a Manager originally recruited or supported a creator does not create a continuing ownership interest in that creator.

Creators retain whatever rights applicable law and TikTok policies provide them to make independent decisions regarding their affiliations. However, a departing Manager may not use Storm’s Confidential Information, proprietary systems, internal records, or non-public business data to target or divert those relationships.

A Manager may not intentionally interfere with Storm’s business through fraud, misuse of Confidential Information, unlawful misrepresentation, unauthorized use of proprietary information, or other unlawful conduct.

Nothing in these Manager Terms is intended to prohibit lawful competition that is not otherwise restricted by an enforceable provision of this agreement.

13. RESTRICTIVE COVENANTS

The parties intend all post-departure restrictions to apply only to the fullest extent permitted by applicable law.

Nothing in these Manager Terms is intended to create an unlimited worldwide or nationwide prohibition on lawful work or competition.

Where applicable law requires a restrictive covenant to identify specific geographic areas, time periods, competitive activities, or other limitations, the restriction will apply only to the extent those legal requirements are satisfied.

Where Louisiana law applies, any traditional post-departure non-competition restriction will not exceed twenty-four months following the Manager’s final date of qualifying work or service and will apply only within specifically identified parishes, municipalities, or other legally permissible territories in which Storm conducts the applicable like business.

Any legally required geographic restrictions may be maintained separately by Storm as part of an applicable written territorial addendum or other legally compliant agreement incorporated into the Manager’s contractual relationship.

Storm intends all restrictive provisions to protect legitimate business interests, including Confidential Information, proprietary systems, specialized training, creator and business relationships, goodwill, trade secrets, and investment in management development, and not to impose restrictions broader than applicable law permits.

14. TERMINATION AND REMOVAL FROM MANAGEMENT

Storm may suspend or terminate management status for legitimate reasons including failure to satisfy management expectations, improper poaching, fraud, falsification, serious misconduct, misuse of Confidential Information, misuse of creator data, unauthorized account access, compensation manipulation, unauthorized competing activity, serious harassment, threats, misrepresentation of authority, breach of Storm policy, or material breach of these Manager Terms.

Certain conduct may justify immediate termination of management access without a performance-improvement period. This may include theft or misuse of Storm data, intentional poaching, fraud, knowingly providing Confidential Information to a competitor, secretly operating a competing agency while actively managing for Storm, intentional manipulation of compensation, unauthorized access to creator financial information, or other serious conduct creating significant legal, financial, security, platform, or business risk.

Termination of management status may result in loss of leadership access, recruiting privileges, creator assignments, management title, leadership communications, future discretionary management incentives, or other privileges associated with the management position.

Storm will not withhold compensation that applicable law requires Storm to pay.

15. REMEDIES FOR BREACH

A material breach involving Confidential Information, creator data, proprietary materials, intellectual property, post-departure payment obligations, non-circumvention obligations, or other enforceable provisions may cause substantial harm to Storm.

To the fullest extent permitted by applicable law, Storm may pursue legally available remedies including monetary damages, recovery of contractually owed amounts, injunctive relief, equitable relief, and any other remedy available under applicable law.

Nothing in these Manager Terms automatically entitles Storm to a remedy prohibited by law.

16. RECORDS AND INVESTIGATIONS

Storm may review suspected violations of these Manager Terms, Storm policy, compensation requirements, recruiting standards, eligibility requirements, security requirements, or management responsibilities.

Storm may consider internal records, platform records, recruiting data, creator reports, management communications, screenshots, financial information, management dashboards, witness statements, and other reasonably reliable information relevant to the matter being reviewed.

Managers are expected to cooperate reasonably with legitimate compliance, eligibility, compensation, security, or management investigations.

Knowingly providing false information, fabricated evidence, altered records, or materially misleading statements during an investigation may constitute an independent violation of these Manager Terms.

17. MANAGER COMMUNICATIONS AND PROFESSIONAL CONDUCT

Managers are expected to maintain reasonable communication with Storm leadership and remain informed regarding policies, training, recruiting requirements, creator-network developments, compliance matters, compensation updates, platform changes, and other material leadership information.

Managers are expected to work professionally with other Storm Managers and leadership personnel.

Managers may not intentionally sabotage another Manager, manipulate creator assignments, steal confidential recruiting information, interfere with another Manager’s performance for personal financial benefit, or knowingly spread materially false information about another Storm Manager or representative.

Managers should promptly report serious concerns involving fraud, creator safety, poaching, account compromise, unauthorized access, threats, misuse of Confidential Information, serious policy violations, conflicts of interest, or other significant risks involving Storm or its creators.

18. USE OF STORM NAME AND BRAND

Managers may identify themselves as Storm Managers only while actively authorized to hold that position.

Storm may permit Managers to use approved Storm branding, logos, graphics, flyers, promotional materials, or other intellectual property for legitimate Storm business.

Any such permission is limited, revocable, non-transferable, and does not transfer ownership of Storm intellectual property.

A former Manager must discontinue any use of Storm branding that falsely suggests continued affiliation, authority, partnership, ownership, endorsement, or representation.

Managers may not create unauthorized websites, social-media accounts, creator networks, businesses, brands, or organizations that intentionally create confusion regarding affiliation with Storm Creator Network.

19. TIKTOK AND THIRD-PARTY PLATFORM RELATIONSHIP

Storm Managers are not TikTok employees merely because they participate in Storm Creator Network, communicate TikTok-related information, attend TikTok events, or assist creators with TikTok programs.

Managers may not represent themselves as TikTok employees, corporate representatives, or individuals authorized to legally bind TikTok.

TikTok may change creator-network programs, compensation structures, eligibility requirements, features, platform rules, invitation limits, or other requirements at any time.

Storm cannot guarantee continuation of any particular TikTok program, management structure, creator benefit, platform feature, or compensation opportunity.

20. DATA SECURITY

Managers may receive personal information relating to creators, prospective creators, business contacts, and other individuals through their Storm responsibilities.

Managers must protect that information and may use it only for legitimate authorized Storm purposes.

Managers may not sell creator information, provide creator data to unauthorized third parties, use creator information for unrelated personal marketing, or retain private creator information for competitive use after leaving Storm.

A Manager who believes Storm creator data, Manager credentials, confidential information, or internal systems have been compromised must promptly notify Storm.

Managers must not share passwords, administrative access, restricted links, login credentials, or confidential system access with unauthorized individuals.

21. CHANGES TO MANAGEMENT PROGRAMS

Storm may create, modify, restructure, suspend, rename, or discontinue management programs, leadership tiers, compensation structures, training programs, recruiting systems, creator-assignment methods, incentives, performance standards, and other operational programs.

Operational changes may be implemented prospectively as reasonably necessary.

Storm will honor legally earned compensation and other contractual obligations that cannot lawfully be modified.

Material changes to specifically negotiated post-departure financial obligations or restrictive covenants will be handled in accordance with applicable law.

22. GENERAL CONTRACT TERMS

Except where another jurisdiction’s law is required to apply, these Manager Terms will be governed by the laws of the State of Louisiana.

Storm and the Manager are encouraged to attempt in good faith to resolve contractual, compensation, recruiting, management, or other disputes informally before formal proceedings when reasonably practical.

Nothing prevents either party from seeking immediate legal relief where reasonably necessary to protect Confidential Information, intellectual property, trade secrets, security, creator data, or another legally protected interest.

If any provision of these Manager Terms is determined to be unlawful, invalid, or unenforceable, that provision will be ineffective only to the extent required by law, and the remaining provisions will continue in effect to the fullest extent legally permitted.

Storm’s failure to enforce a provision on one occasion does not constitute a permanent waiver of that provision.

These Manager Terms, together with the Storm Creator Network Creator Terms & Conditions, applicable written compensation terms, and any additional agreement expressly incorporated into the Manager’s relationship with Storm, constitute the applicable terms governing the Manager’s Storm leadership role.

Where another separately agreed written contract specifically governs a subject differently, the more specific agreement will control for that subject.

Obligations concerning Confidential Information, creator data, proprietary materials, intellectual property, return or deletion of Storm property, post-departure revenue participation, lawful non-solicitation, lawful non-circumvention, and amounts contractually owed survive termination to the extent permitted by applicable law.

23. ELECTRONIC ACCEPTANCE

Storm may require electronic acceptance of these Manager Terms as a condition of obtaining or maintaining management access.

Electronic acceptance may include an electronic signature, affirmative acknowledgment, account-based acceptance, or other electronic method reasonably designed to demonstrate agreement.

Storm may retain records documenting the version of the Manager Terms accepted, the identity and account associated with the acceptance, the date and time of acceptance, and other reasonable records demonstrating contractual acceptance.

By accepting or continuing in a Storm management position after valid acceptance of these Manager Terms, the Manager acknowledges that the Manager has reviewed the agreement, understands the responsibilities and restrictions associated with Storm management, and agrees to comply with these Manager Terms to the fullest extent permitted by applicable law.
